Parikshit (Parik) Dasgupta advises private fund sponsors and institutional investors on the structuring, formation, and operation of private investment funds across all major alternative strategies, with specialized expertise in complex secondary transactions and regulatory compliance.

With more than 20 years of experience, including prior roles as a partner at leading international law firms, Parik is a trusted advisor to many of the market’s most active sponsors. His practice centers on the formation and ongoing management of commingled vehicles, co-investment programs, SMAs, and strategic partnerships across private equity, credit, and real assets. He also offers extensive experience in manager spin-outs, seeding arrangements, joint ventures, and firm-level governance.

Complementing his formation practice, Parik advises on the full spectrum of secondary market solutions. This includes GP-led and LP-led transactions, continuation vehicles, fund recapitalizations, strip sales, preferred equity arrangements, and tender offers. He is frequently sought out by sponsors and lead investors to execute bespoke liquidity solutions that require sophisticated structuring.

As a member of the firm’s Opinion Committee, Parik serves as a primary regulatory counsel on matters involving the Securities Act, Investment Company Act, and Investment Advisers Act. He provides strategic guidance on compensation structuring, succession planning, and operational compliance.

Clients value Parik for his ability to combine deep technical knowledge of U.S. investment management regulation with a practical understanding of how regulatory requirements intersect with fund economics, investor expectations, and sponsor objectives.
