Steven is a nationally recognized tax lawyer who focuses his practice on transactional and tax policy matters primarily in the area of partnerships and limited liability companies. He has significant tax experience in partnerships, real estate, tax equity and credits, energy transition, mergers & acquisitions, private equity and real estate funds, data centers, qualified opportunity zone funds, cross-border tax, REITs, bioscience, international investors (including sovereigns), and S corporations.

He started his career as a lawyer in the U.S. Internal Revenue Service's national office and has had many years of national-level law firm and Big 4 accounting firm experience. Steven also previously chaired the ABA Partnership Tax Committee. He has been teaching a course on drafting partnership and LLC agreements at Georgetown University Law Center since 2005, co-taught a course on energy taxation in 2025, is a regular speaker at national tax venues, and has published numerous articles.

XPLR Infrastructure (NYSE: XIFR, formerly NextEra Energy Partners) on its US$1.1 billion divestiture of interest in the Central Penn Line.

Panattoni Development Company, a privately held commercial real estate development company, on tax matters related to multiple development projects and joint ventures.

Advising on tax equity issues (sponsor and investor side); financing, tax policy, and M&A transactions (renewables and traditional energy/pipelines).

Advising on Sections 45, 45Y, 48 and 48E (solar, wind, storage, nuclear), Section 45Q carbon capture, and Section 45V (hydrogen).

Advising on Section 45W (clean commercial vehicles), Section 45X (advanced manufacturing), Sections 45Z and 6426 (clean fuel), and Section 6418 (direct transfer).

Large global real estate funds, developers, and institutional investors on federal income tax matters relating to international and domestic real estate acquisitions, dispositions and restructurings.

Representation of sovereigns and other tax-sensitive investors on real estate and fund investments.
