Led by Munich partner Dr. Thomas Freund global law firm Hogan Lovells has advised private debt asset manager Apera on the acquisition financing of Monti TopCo BV and its subsidiaries, including Monti-Werkzeuge GmbH (MontiPower), a leading manufacturer of high-performance surface preparation technology, tools, and supplies, by BBOF VI Holding C.V. (Bencis).

Together with its management, Bencis will further accelerate Monti’s international growth and reinforce its position as a global leader in surface preparation and anti-corrosion, focusing on internationalization, product innovation, as well as selective acquisitions.

Bencis is a private equity firm focussing on supporting resilient and growing mid-market companies across the Benelux and DACH regions. With a long-term investment approach, Bencis partners with businesses to drive sustainable growth and strategic development.

With its strong technology and differentiated portfolio, Monti has built a global presence serving industries such as energy, marine, infrastructure and defence. The company has expanded its international footprint with presences in Germany, the Netherlands, Slovakia, Poland, the US, Australia, Singapore and Brazil.

Hogan Lovells' cross- office team provided comprehensive advice to the client on all legal matters relating to the financing.

"The transaction reflects the ongoing momentum in the European mid-market financing landscape and the strong investor interest in internationally positioned industrial businesses. It was a pleasure to support Apera in this exciting deal," says Thomas Freund.
