Hogan Lovells advises EDF on an up to £4.5 Billion private placement bond issue with Apollo-managed affiliates, funds, and strategic accounts

Global law firm Hogan Lovells has advised Electricité de France (EDF) on the signing of an agreement to invest up to £4.5 billion in fixed-rate notes issued by EDF by way of unlisted private placement pursuant to its €50 billion EMTN program.

This transaction represents one of the largest sterling-denominated note issuances on record.

The notes will be issued in three tranches, each with a maximum maturity of twelve years. The first tranche, for a total nominal amount of £1.5 billion, was issued on 26 June 2025. EDF has the option to issue the two other tranches in 2026 and 2027.

The funds will be mainly allocated to support EDF's general corporate purposes, including projects in the United Kingdom, with a particular focus on the Hinkley Point C nuclear power station.
