Nick Hoover helps public companies of all sizes navigate complex securities laws, raise capital, and optimize their public disclosure and corporate governance. He brings a pragmatic, company-tailored approach to helping clients stay compliant, manage risk, and unlock growth opportunities, particularly in highly regulated industries such as life sciences, financial services, technology, aerospace and defense, and education.

Nick counsels companies on compliance with the securities laws and stock exchange regulations, public disclosure, shareholder engagement, corporate governance, and securities offerings. His transactional experience spans a broad array of public and private equity and debt offerings, as well as repurchases and the securities aspects of mergers and acquisitions. Nick has worked with NYSE and Nasdaq listed entities ranging from smaller reporting and emerging growth companies to the Fortune 500.

Prior to practicing law, Nick worked as an information technology journalist. Nick worked full time as a reporter during law school, receiving the University of Maryland's Larry P. Shoda award for scholastic excellence and special commitment required of evening students. During that time he was also executive articles editor for the Journal of Business and Technology Law.
