Whether representing an energy company in a complex acquisition, joint venture, or financing; an infrastructure company in greenfield development or finance; or a lender or underwriter providing unsecured or secured financing, Dave Locascio brings a business perspective to each transaction.

Having experienced prior downturns in the upstream oil and gas, and power sectors, Dave understands the difficulties facing companies and lenders as they navigate through uncertain times. He works with clients to proactively address looming challenges and to protect companies and lenders from the potential adverse actions of counterparties.

Dave represents clients in upstream oil and gas projects; carbon capture and storage projects; gas, oil, or CO2 pipelines; liquefied natural gas (LNG) export and import facilities; oil and refined products refinery or storage facilities; and carbon capture. He helps major energy companies in the acquisition, joint venture, development, and financing of such projects.

Dave serves as the head of the firm's U.S. P3 practice. He has been at the forefront of the developing U.S. public-private partnership (P3) industry, having worked on a multitude of U.S. P3 projects over the last several years. Since he has acted as consortium, lenders and monoline counsel in P3 projects, he understands the different concerns and perspectives of the participants and helps his clients focus on and understand the issues material to them.

In helping a range of parties develop and finance conventional and renewable power generation, both domestically and internationally, Dave knows the distinctive transactional and regulatory aspects of regional power markets.

Representative experience

Represented the Government of the Bahamas in the long-term purchase of liquefied natural gas and regasification of such LNG in the Bahamas.
Represented a developer in the first ever tax equity investment in an oil and gas project targeted at earning the 45Q tax credit.
Represented a developer in a joint venture to develop CO2 transportation and sequestration facilities.
Represented a bond insurer in the financing of the JFK Terminal One and Six projects, the Brightline Rail project, the Penn Major Bridges project, and the LAX APM project.
Represented Equinor in a joint venture to develop lithium mining projects in Arkansas and Texas.
Represented JX Nippon in the buyout of its partner in the Petra Nova project, the world's largest carbon capture and storage facility.
Represented a Plenary-led consortium on a broadband P3 project with the Pennsylvania Turnpike Commission.
Represented an Applegreen led consortium in the acquisition and finance of a P3 concession in Connecticut of 24 highway service plazas.
Represented a lender in the financing and power price hedging of two windfarms in Texas.
Represented Mabanaft GmbH & Co. KG as an ammonia offtaker and operating partner in Gulf Coast Ammonia LLC.
Represented Blue Owl, as lender, in the financing for Abacus Life in connection with Abacus Life’s initial public offering.
Represented Sinolam LNG, a Panamanian subsidiary of Shanghai Gorgeous, on an LNG sale and purchase agreement with Shell International Trading Middle East Ltd.
Represented a U.S. LNG export facility developer in the acquisition of an existing offshore pipeline system.
Represented the underwriters and lenders in a consortium bid for the SR400 project.
Represented a major financial institution in a secured exclusive supply and hedging facility for a large gas and power retailer.
Represented SABIC in its joint venture with Exxon to develop a US$9bn petrochemical facility in Texas.
Represented a bond insurer in the financing of the Michigan I-75 project, the Portsmouth Bypass project, and the Goethals Bridge project.
Represented Bechtel in connection with EPC contracts for Cheniere Energy's Sabine Pass, Louisiana; Corpus Christi, Texas; and Port Arthur, Texas LNG liquefaction and export facilities.
Represented a European buyer in a long-term LNG purchase agreement for LNG from the United States.
