Rachel advises fund managers on the formation, structuring, and operation of private investment funds across all major strategies, including private equity, venture capital, credit, and real estate. She also represents institutional investors in their negotiations with fund sponsors, bringing a balanced perspective to both sides of the investment relationship.

Her experience spans the full fund lifecycle — from fund structuring and capital raising to regulatory compliance and ongoing management — with a focus on providing practical, business-oriented guidance tailored to each client’s objectives.

Rachel works with a broad range of clients, from emerging managers launching their first funds to established firms managing large global platforms. She has particular experience with Small Business Investment Company (SBIC) fund formation and regularly advises on the regulatory and operational considerations of the SBIC program. In addition, she counsels clients on co-investment arrangements, secondary transactions, regulatory compliance and management company structuring.

Rachel is also passionate about her pro bono practice, with a specific focus on gun violence prevention and working with survivors of domestic violence.
